Wyoming's annual report is short, but it comes with a tax. Each LLC and corporation files it with the Business Division of the Secretary of State and pays the annual license tax in the same step. Most companies file on WyoBiz, the state's online system.
The date is easy to get wrong. It is the first day of your anniversary month, not the end of it. The Wyoming office guide covers search, formation fees and contacts. This page stays with the report.
Who files and how the tax is worked out
Every Wyoming LLC and for-profit corporation files, and so do companies from other states that qualified to do business in Wyoming. Nonprofits file too, for a flat $25.
For everyone else the license tax is the greater of two amounts: $60, or $0.0002 for each dollar of assets located in Wyoming. In practice, a company with modest assets in the state pays $60. A company with one million dollars of Wyoming assets would owe 200 dollars, since that is more than the floor. Assets held outside Wyoming do not count.
| Fee | LLC: $60 minimum, or $0.0002 times Wyoming assets, whichever is greater; corporation: $60 minimum, or $0.0002 times Wyoming assets, whichever is greater (sos.wyo.gov, checked ) |
|---|---|
| When it is due | Due on the first day of the anniversary month of formation or qualification. May be filed up to 120 days early. (sos.wyo.gov, checked ) |
| If you file late | Delinquent from the 2nd day of the month after the due date. Administratively dissolved if not filed within 60 days of the due date. Reinstatement for tax is $100 for LLCs and corporations, only within 2 years. (sos.wyo.gov, checked ) |
| Franchise or privilege tax | No franchise tax found. Annual license tax on assets in Wyoming is paid with the annual report. (sos.wyo.gov, checked ) |

The due date, worked through
Take the month you formed, or the month you first registered in Wyoming if you came from another state. Your report is due on the first day of that month every year after.
Here is an example. An LLC formed on July 20 has its report due on July 1 each year. It can file as early as 120 days ahead, which is March 3. If it misses July 1, it turns Delinquent on August 2. If the report is still missing 60 days after July 1, around the end of August, the state dissolves it.
How to file on WyoBiz, step by step
- Open the WyoBiz filing search and find your company by name or Filing ID.
- Start the annual report from the company record.
- Enter the value of your assets located in Wyoming, so the tax is worked out.
- Review the agent, address and officer details shown.
- Pay by card, with the processor fee added, and save the receipt.
If your tax comes to more than $500, WyoBiz will not take the report online. File it on paper with the Business Division instead.
Late reports and dissolution
We found no percentage late fee in Wyoming's rules. The cost of being late is your status. On the second day of the month after the due date, the company becomes Delinquent. Sixty days after the due date, an unfiled report leads to administrative dissolution.
A dissolved company can be reinstated for the tax for $100, but only within 2 years. After that window closes, the option is gone.
Checking that your report was accepted
Search the company again on WyoBiz. Its status should be Active, which in Wyoming means the annual report was filed on time. Once the record is current you can print a free certificate of good standing from WyoBiz. For other states' dates, see our annual report deadlines by state.
