Indiana Secretary of State

The Business Services Division of the Indiana Secretary of State runs company filings through INBiz. Indiana asks for a business entity report every two years, not every year.

Report due

Every two years, in your formation month

Company records in Indiana belong to the Secretary of State, and the work is done by its Business Services Division. Almost everything happens on INBiz, the state's online business portal, from forming an LLC to filing the report that keeps it active. A separate public business search lets anyone look up a record without logging in.

Two features stand out. Indiana's report is biennial, so you file every other year in your formation month. And online filings carry an INBiz enhanced access fee on top of the fee set in the Indiana Code, which is why the price you pay online is higher than the statutory number.

Looking up an Indiana business

The public business search covers every company registered with the Secretary of State. You can use the business name, business ID, filing number, registered agent name, and incorporator or governing person name.

The same search is how you check whether a name is free before you file. A separate name checker was not found, but a reservation can lock a name in once you choose it.

Indiana record status

"Active" means the company is current on its business entity reports and has a valid registered agent. When an Indiana company falls behind on either, it becomes Administratively Dissolved. Out-of-state companies in the same position show Revoked.

Status shownWhat it means
ActiveEntity is current on its business entity reports and has a valid registered agent.
Administratively DissolvedDomestic entity did not file its business entity report or keep a registered agent; cannot conduct business in Indiana.

Before dissolving a company, the office sends a letter of pending dissolution with a deadline. Reinstatement after that requires an application.

What INBiz filings cost

The Indiana business entity report

Indiana companies file a business entity report every two years. It is due in the anniversary month of the company's formation or registration in Indiana, with the first one two years after formation. Once that month ends, the report is past due.

Indiana name rules

An Indiana LLC name needs "limited liability company", "LLC" or "L.L.C.". It must also be distinguishable on the Secretary of State's records from existing filings. Entity words like LLC are ignored when names are compared, so "Oak Street LLC" and "Oak Street L.L.C." count as the same name.
