Annual report deadlines by state

Most states want a short report from every LLC once a year or once every two years. The due date depends on the state, and missing it can cost a penalty or the company's good standing.

Checked .

The yearly report keeps a company's record current: its address, its managers or officers and its registered agent. It is also how most states collect a yearly fee. Filing on time keeps the company in good standing, which you need to get a certificate of good standing, sign many contracts and keep the right to use the courts.

Three kinds of deadline

States set the due date in one of three ways:

  1. A fixed date or window for everyone. Florida takes reports from January 1 to May 1. Pennsylvania gives LLCs a window from January 1 to September 30.
  2. The anniversary month. Wyoming wants the report on the first day of the month the company was formed. Nevada wants its annual list by the end of the anniversary month.
  3. No report, or a different filing. Ohio has none for LLCs. Texas companies file with the Comptroller by May 15. Delaware LLCs pay a flat tax.

Before you file

Have the company's file number and the current details of its registered agent, address and managers ready. Most portals let you change those details inside the report at no extra cost, so check them line by line. Pay with a card or an account on the portal, then save the receipt: it is your proof of filing until the record updates.

If the deadline has passed, file anyway as soon as you can. A late fee is usually cheaper than reinstating a dissolved company. Our guide to filing an annual report walks through the steps.

Questions

What happens if I miss my LLC's annual report?

Most states add a late fee first. If the report stays missing, the state changes the company's status, often to delinquent, inactive or administratively dissolved, and the company loses its good standing until it files and pays.

Is the annual report due on the same date in every state?

No. Some states use one fixed date for every company, such as Florida's window from January 1 to May 1. Others use the month the company was formed. The table shows each state's rule.

Do all states require an annual report?

No. Ohio has no yearly report for LLCs or business corporations, Texas uses a franchise tax report with the Comptroller instead, and Delaware LLCs pay an annual tax without a report.

Is a biennial report the same thing?

It is the same kind of filing, made every two years instead of every year. New York, for example, asks for a biennial statement in the month the company was first filed.

Where do I file the report?

On the filing portal of the state where the company is registered. Each office page links it. If the company is registered as a foreign entity in other states, each of those states may want its own report.
