Certificate of good standing

A certificate of good standing is the state's short letter saying your company exists and is up to date with its filings. Banks, lenders and other states ask for it.

Checked .

You will be asked for proof of good standing when you open a business bank account, take a loan, register the company in another state, sell the business or bid on a contract. The certificate comes from the office that holds your company record, and only a company that is current with its reports and fees can get one.

What each state calls it

Florida and California issue a Certificate of Status. Texas issues a certificate of fact from the Secretary of State, and its Comptroller issues a separate certificate of account status for franchise tax. Pennsylvania issues a subsistence certificate for its own companies. Delaware offers a short form and a long form certificate of status. The table below uses each state's own words.

How to order one

  1. Search your company in the state's business search and check its status. If it is not active or in good standing, fix that first.
  2. Open the certificate page linked in the table or on your state's office page.
  3. Choose the type: short form for most banks, long form if the request asks for the filing history.
  4. Pay the fee and download the PDF, or ask for a paper copy if the requester wants a signed original.

When the request comes from another state

If you are registering your company in a second state, that state usually asks for a good standing certificate from your home state, issued recently. Check its age limit on the foreign registration form before you order, so the certificate is still fresh when you file.

Need the certificate for use abroad? Read the apostille guide for the next step. Lenders also check records with a UCC search.

Questions

How long does it take to get a certificate of good standing?

In many states you can download it right after paying online. Paper requests by mail take longer, and each state publishes its own options.

How much does a good standing certificate cost?

It depends on the state. Some offices give it free online, many charge a small fee, and long form versions that list every filing cost more. The table shows each state's fee.

Why can't I get one for my company?

The company is usually behind on a yearly report, a fee or a tax. File what is missing, wait for the record to update, then order the certificate.

How long is a certificate of good standing valid?

It shows the status on the day it was issued. Banks and other states often set an age limit for the certificates they accept, so order a fresh one when you need it.

Is a certificate of status the same as good standing?

Yes, for most purposes. States use different names: certificate of status, of existence, of fact or a subsistence certificate. They all confirm the company exists and is current.
