Certificate of Good Standing

An Oklahoma Certificate of Good Standing comes from the Oklahoma Secretary of State, through the order page its Business Filing Department uses for copies and certificates. The fee is $20.

Oklahoma's order screen gives you an early answer. When a company is in good standing, the order form offers a good standing checkbox. When that box is missing, the Secretary of State says the business is probably not in good standing. That small detail saves you from paying for a document you cannot get. For the rest of the office, see the Oklahoma office guide.

The $20 Oklahoma certificate

The Secretary of State's fee page lists the Certificate of Good Standing at $20. Orders go through the online order page linked in the table below.

Ordering it, step by step

  1. Look up the company in the Secretary of State's entity search. A filing number is the fastest way in.
  2. Check that the record does not read Inactive, Terminated or Expired.
  3. Open the business records order page and choose the company.
  4. Tick the good standing option. If you cannot, stop and go to the section on reinstatement below.
  5. Pay $20 and save the certificate.

What the Oklahoma status shows

The Secretary of State's FAQ explains two states a company can be in. The status word on the record tells you which one applies.

Every status word Oklahoma uses is explained in our Oklahoma office guide.

An LLC stays in good standing while it files its annual certificate within the 60 day grace period after its anniversary date. Once that window passes, the LLC is no longer in good standing and shows as inactive, with the word Terminated or Expired.

Getting an Oklahoma LLC back in good standing

The reinstatement form has no fee. You must, however, file every annual certificate that was missed, at $25 each. Paying an annual certificate by credit card adds 4 percent. An LLC two years behind files two certificates and the reinstatement form together.

Then search the record again. When it shows good standing, return to the order page, where the checkbox should now appear. Keep the email address on file up to date, because the state sends the annual reminder only by email.

The rules for corporation annual filings were not confirmed on the pages behind this guide. If you run a corporation and cannot order, call (405) 522-2520 and ask what is missing.

Who asks for an Oklahoma certificate

Banks want one when you open an account or apply for a loan. Another state asks for it when your Oklahoma company registers there as a foreign business. Our certificate of good standing guide explains what each of them checks.
