In Oklahoma, an LLC starts when the Secretary of State files its articles of organization. The filing fee is $100. You can send the form by mail, deliver it in person or file it online, and the office handles requests in the order it receives them.

This page describes the filing. It is a guide, not advice about how to set up your company. For the office itself, see the Oklahoma office guide. The articles of organization guide compares the filing across states.

Which form does Oklahoma use?

The state publishes Articles of Organization as SOS Form 0073, with a procedure sheet called Form 0074. You file one signed copy with the Secretary of State at the Business Filing Department in Oklahoma City. The fee schedule lists the filing under the LLC statute, Title 18, Section 2055.

A corporation files something else. For a for profit company, the state uses a Certificate of Incorporation. Its fee is based on authorized capital, with a minimum of $50. Our articles of incorporation guide covers that route.

What does it cost to file in Oklahoma?

The fee for an LLC is $100. A four percent service charge is added if you use a card, either in person or online. Checks, cashier's checks and money orders are made out to the Oklahoma Secretary of State.

Same day service is available if you deliver the document in person. The Business Services page lists an extra $50 for each document. Documents dropped off with no rush carry no added fee. Anything delivered in person after 4:30 pm Central Time is processed the next business day.

An older procedure sheet shows a lower same day price. The Business Services page is newer and says $50, so plan for that.

What the articles must say

The form is one page. It asks for the following.

  1. The LLC name. It must contain limited liability company or limited company, or an abbreviation such as LLC, LC, L.L.C. or L.C.
  2. The street address of the principal place of business. A P.O. box is not accepted.
  3. The email address of the primary contact.
  4. The name and street address of the registered agent in Oklahoma.
  5. The term of existence: perpetual, a set number of years, or a future date.
  6. A signature from at least one person, who does not have to be a member.

The registered agent can be the LLC itself, an individual resident of Oklahoma, or a domestic or qualified foreign corporation, LLC or limited partnership. The agent must keep an office open during regular business hours to accept service of process.

Naming and reservation

The name must be distinguishable on the Secretary of State's records from other corporations, LLCs, limited partnerships, trade names and reserved names. A corporation name existing at any time during the preceding three years counts. You can check availability in advance, but the Business Filing Department makes the final call.

To hold a name before you file, you can reserve it for 60 days for $10.

After the articles are filed

Every Oklahoma LLC files an annual certificate each year on its anniversary date. The fee for an LLC is $25. The office warns that it sends the notice only to the email address on the record, so the address you put on the articles matters.
