New Jersey's yearly filing is the annual report, sent to DORES, the Division of Revenue and Enterprise Services. DORES runs a dedicated annual report service on the state's online portal, separate from the one used to form companies. Every LLC, corporation, LLP and LP files one, and so do nonprofits.
The date follows your company, not the calendar. Whatever month you formed in is your reporting month, every year. Search, formation fees and contacts for DORES are in the New Jersey office guide.
Who files and what it costs
Most companies pay the same amount. An LLC, LLP, corporation or LP pays $75 a year. A nonprofit pays $30. Companies formed in other states that hold authority to do business in New Jersey also file, because they can lose that authority if they stop.
| Fee | LLC: $75 (LLC/LLP); corporation: $75 (corporation/LP); nonprofit $30 (nj.gov, checked ) |
|---|---|
| When it is due | Due every year by the last day of the month in which the business was formed. (njportal.com, checked ) |
| If you file late | Failure to file annual reports for two consecutive years can lead to the charter being voided or authority revoked. LLC reinstatement: all outstanding annual reports, $75 reinstatement fee, plus $20 tax clearance certificate if revoked over 2 years. (nj.gov, checked ) |

Two money points are worth knowing. The DORES fee schedule has no late fee for the report. And there is no faster option to buy: annual reports cannot be expedited.
Finding your due date, with an example
Look at the formation date on your record. The report is due by the last day of that month, each year.
Take an LLC formed on October 22. Its report is due by October 31 every year after that. A corporation formed on April 2 has until April 30. The day of the month you formed on does not matter, only the month. If your formation date is not to hand, the Business Records Service shows it when you look the company up.
How to file the New Jersey annual report
- Note your entity ID. You can find it on your record in the Business Records Service.
- Open the annual report service on the New Jersey business portal.
- Enter the entity ID and check the company details shown.
- Update anything that changed since last year.
- Pay the $75 fee, or $30 for a nonprofit, and save the confirmation.
Since there is no expedite, file in the first part of your month rather than on the last day.
Missed reports, voided charters and reinstatement
Missing one year does not end a company. Missing two years in a row is what triggers action. A New Jersey company's charter can then be voided, and an out-of-state company's authority can be revoked. The state uses the words Revoked and Voided for these cases.
To come back, an LLC files every outstanding annual report and pays a $75 reinstatement fee. If it has been revoked for more than 2 years, it also needs a $20 tax clearance certificate. Fixing the gap early is much cheaper than waiting.
Checking that your report is on file
Search the company in the Business Records Service by name or entity ID. It should no longer show as revoked or voided. For proof you can hand to a bank, order a standing certificate from DORES once the report has posted. Our guide on how to file an annual report explains the filing in general terms.
