Mississippi does something many states do not: it asks every LLC for a yearly report and charges nothing. The filing comes from the Business Services and External Affairs side of the Secretary of State, and the whole process is online. The Mississippi office guide covers searches, formation and contacts.
The date to remember is April 15. Corporations and LLCs that operate in Mississippi are covered, and so are nonprofits, which get a different deadline.
How much is the Mississippi annual report?
The fee depends on the kind of entity. The state fee schedule lists these amounts:
- A Mississippi LLC: $0.
- A for profit corporation: $25.
- A foreign LLC: $250.
| Fee | LLC: $0; corporation: $25; foreign llc: $250; nonprofit status report: $25 (sos.ms.gov, checked ) |
|---|---|
| When it is due | April 15 each year for corporations and LLCs. Nonprofits May 15. Filing window opens January 1. Online portal only. (sos.ms.gov, checked ) |
| Where to file | corp.sos.ms.gov/corp/portal/c/page/login/portal.aspx (sos.ms.gov, checked ) |
| Processing time | Online filings: emails usually same day, sometimes within minutes; corrections within 24 hours. Certificates and copies available immediately on payment. Paper takes significantly longer. (sos.ms.gov, checked ) |
Treat the $0 for a domestic LLC as the filing fee only. It has nothing to do with whether your LLC owes tax to the Department of Revenue, which is a separate matter.
When does the report have to be filed?
You can file any time on or after January 1, and the report is due by April 15 of that year. That works for profit corporations and for LLCs. A nonprofit corporation has the same January 1 opening but is due by May 15.
Because the window opens on January 1, there is no reason to wait for April. Filing early leaves time to fix a wrong Business ID or a login problem.
How do you file it?
All annual reports go through the Secretary of State's online portal. There is no paper route.
- Search for your company to find its Business ID number.
- Log in to the portal. If you have no username and password, register for one.
- Choose File an Annual Report from the menu of business filings.
- Complete the screens, pay the fee if one applies, and save the confirmation.
You need the Business ID number to begin. If you cannot find it, search by name first.
What if you miss the date?
The state warns that failing to file can lead to administrative dissolution. For corporations it says those that fail to file will be dissolved. The page lists no separate late fee.
Every status word Mississippi uses is explained in our Mississippi office guide.
To undo a dissolution, the company applies for reinstatement. The fee schedule shows $50 for a domestic LLC and $100 for a foreign LLC. The state also says corporations and certain LLCs need a tax clearance letter from the Department of Revenue first, so request that early.
How can you confirm it was filed?
Search the company again in the business search and read its status. The Secretary of State also emails the company when anything is filed for it, so check the address on file. If a bank wants proof, order a Certificate of Good Standing or Existence from the Order Documents service. Our general certificate of good standing guide shows how that works across states.
See how reports compare in annual report deadlines by state. State fees are separate. You can file at the state yourself, or ask our private filing service to do it for you.
