Michigan does not call every yearly filing an annual report. An LLC files an annual statement. A corporation files an annual report. LARA, through its Corporations Division, collects both. The main fact to remember is that all of them must be filed online. LARA's pages state that annual reports and annual statements can no longer be submitted on paper. For searches, formation and contacts, see our Michigan office guide.
Who files what in Michigan?
A Michigan LLC files the annual statement. A professional LLC, or PLLC, files it too, at a higher fee. A profit corporation or professional corporation files an annual report. Nonprofit corporations have their own due date.
Every one of these entities must file starting the year after it is formed. The first filing is the one that changes with the formation date, so work it out before you assume a deadline.

What does the filing cost?
The fee for an LLC is $25. The fee for a PLLC is $75. LARA's pages list the filing fees by entity type, so check the current page when your entity is a corporation or a nonprofit. A small business owner with a standard LLC will pay $25 and nothing else if the filing is on time.
When is it due?
LLCs and PLLCs file by February 15 each year. Say your LLC was formed in March. Its first statement is due on the next February 15, which is the year after formation. Now say it was formed in November. LLCs formed or qualified after September 30 do not have to file on the February 15 right after formation, so the first statement waits another year.
Profit and professional corporations file by May 15. Nonprofits file by October 1. If a profit corporation misses May 15, LARA charges $10 for May 16 to May 31 and $20 for June 1 to June 30, and the penalty keeps stepping up after that. LARA's page also lists a $50 penalty after February 15, but it appears under the PLLC section, so confirm which entities it covers before you count on it.
How do you file it online?
Use the MiBusiness Registry Portal and a MiLogin for Business account. Your user ID is not an email address.
- Go to the portal and log in.
- Search for your entity and choose File Online at the bottom of the slide drawer.
- Answer the two questions, then review and approve the statement.
- Tick the box to confirm that you are human, if the site asks.
- Choose File Annual Report/Statement and complete the form.
- Pay the fee by debit or credit card.
Keep the confirmation. If you want to check progress later, use My Work Queue in the portal.
What if you miss it?
A missed filing does not end the company overnight. LARA allows a two year grace period. After that, the business is dissolved, revoked or no longer in good standing. For an LLC it means loss of good standing. For a corporation it means dissolution by operation of law.
To restore an LLC, file the Certificate of Restoration of Good Standing with every past due statement. The restoration fee is $50, and each missing year is $25. On or after February 15, add the current year too. Our Michigan good standing page shows what you can order once the record is clean.
For a hand with the filing, you can ask our private filing service. State fees are separate, and you can file with LARA yourself. Our annual report guide compares states.
