Louisiana does not pick one deadline for everybody. Each company files its annual report on a schedule set by its own formation date. The Commercial Division of the Secretary of State keeps the date on the record, and the report goes in through geauxBIZ, the state's online filing system.
This page covers the yearly filing. The Louisiana office guide explains the commercial search, the office and its other fees.
Who files the Louisiana annual report
Corporations, LLCs, partnerships, foreign corporations and foreign LLCs all file one. The Secretary of State says the yearly filing is tied to the entity's filing anniversary, and the exact date is on the entity record.
The Secretary of State says the filing is required even if nothing changed. Do not skip a year because your officers, agent and addresses are the same.
What the Louisiana annual report costs
The fee schedule that took effect on October 1 lists $35 for the annual report of domestic and foreign LLCs, corporations and partnerships. A nonprofit corporation pays $10. Paying by credit card adds a $5 convenience fee set by statute.
| Fee | LLC: $35; corporation: $35 (static.sos.la.gov, checked ) |
|---|---|
| When it is due | Annual report is required every year, even with no changes, and is tied to the entity's filing anniversary. Check the entity record for the exact date. (sos.la.gov, checked ) |
| Where to file | sos.la.gov/business-services/file-business-documents (sos.la.gov, checked ) |
| Processing time | Standard timeline not stated. Priority (while you wait) $60; 24 hour expedite $35. (sos.la.gov, checked ) |
If you need the filing processed quickly, the office offers a 24 hour expedite for $35 and a priority service done while you wait for $60. Most routine annual reports do not need either.
Working out your due date
Look at the date your entity was formed or qualified. The month and day repeat every year. If an LLC was organized on June 12, its report is due by June 12, each year after that. The record in the commercial search also shows when the report is due.
When the report is due, or up to four weeks before, the record shows a bar offering the annual report form. That is a useful reminder that the window is open.
How to file
- Search for your company in the commercial database and open its record.
- Check the annual report status and the registered agent and office listed.
- File online in geauxBIZ. Start from your charter number and choose the annual report option.
- Pay the fee and keep the confirmation.
You can also print the form from the record and mail or fax it. The office lists a separate fax number for annual reports and reinstatements, 225.932.5312.
What happens if you are late
The fee schedule lists no late fee. The cost comes from the status change.
A record that slips shows Not In Good Standing for failure to file Annual Report. The office then sends a Notice of Intent to Revoke. A domestic company has 30 days from the notice date to file. A foreign company has 60 days. Missing that window leads to revocation.
Every status word Louisiana uses is explained in our Louisiana office guide.
For an LLC, three consecutive years without a report is enough to revoke the articles. A revoked company's name is not available to others for three years, and reinstatement is a separate filing with its own fee.
Check that the filing worked
Open the commercial search again after you file. The annual report status should read In Good Standing. If you need proof for a bank, the office issues a Certificate of Good Standing, so ask for it only after the record is current.
For the general idea across states, see our guide on how to file an annual report. If you would like help with the filing, you can ask our private filing service. State fees are separate, and you can file at the state yourself.
