Florida annual report

Florida companies file one annual report a year with the Division of Corporations, through Sunbiz E-file, between January 1 and May 1. Paying after May 1 adds a $400 late fee for LLCs and for profit corporations.

Report due

January 1 to May 1, every year

Florida's yearly filing is simply called the annual report. It goes to the Division of Corporations, the office most people know as Sunbiz, and it is filed online through Sunbiz E-file. The report confirms or updates your principal address, mailing address, registered agent and the names of your officers or managers.

The calendar is the same for every company: the window opens January 1 and closes May 1. This page goes through the cost, the steps and what to do if you are late. For search, fees and contacts at the Division, see the Florida office guide.

Who files a Florida annual report

Every active LLC and corporation on the Florida register files one each year, and that includes companies from other states that registered to do business in Florida. Limited partnerships and LLLPs file as well. Nonprofit corporations also report, but they are treated differently when they are late.

Nothing has to change for the report to be due. A company with the same address, agent and officers as last year still files and pays.

What it costs

A Florida LLC pays $138.75. A for profit corporation pays $150. Both amounts are flat, so revenue and size do not change them. The nonprofit amount was not in the sources we read, so look at the Division's fee page if you run a not for profit corporation.

The January 1 to May 1 window, with an example

Florida does not tie the report to your formation date. Every company shares the same window.

Take an LLC that filed its articles last October. Its next report can be filed from January 1 and must be in by May 1. If the owner files on March 10, the cost is $138.75 and the job is done for the year. If the same owner waits until May 3, the bill is $138.75 plus the $400 late fee. If the owner does nothing at all, the company moves toward administrative dissolution later in the year.

How to file on Sunbiz E-file, step by step

  1. Find your document number with a Sunbiz name search if you do not have it to hand.
  2. Open Sunbiz E-file and pick the annual report filing.
  3. Enter the document number and check every field the Division shows: addresses, registered agent, officers or managers.
  4. Change anything that is out of date. The report is the normal place to update these details.
  5. Pay by card or from a Sunbiz E-file account.
  6. Save the confirmation for your records.

Card and E-file account payments post within 24 hours in normal periods, because the Division processes them in a daily batch at 6 pm Eastern.

Late fee and Florida status words

After May 1 the $400 late fee applies to for profit corporations, LLCs, LPs and LLLPs. Nonprofit corporations are not charged it. A company that still has not filed is later marked Administratively Dissolved. A foreign company in the same position shows Administratively Revoked. A reinstatement returns either one to Active.

Every status word Florida uses is explained in our Florida office guide.

Checking that your report went through

Search your company on Sunbiz by name or document number a day after you file. The record should show Active, and the annual report you just filed should appear in its filing history. Florida's public data files list the last three annual reports for each company, so the history is easy to confirm.

A current report also matters when you order a Certificate of Status, since an inactive record cannot produce one. Our guide on how to file an annual report explains how this filing works in general.

Florida office questions

How much is the Florida annual report for an LLC?

The LLC fee is $138.75 and a for profit corporation pays $150. The Division did not publish a nonprofit amount in the sources we read, so check the Sunbiz fee page before you pay for a not for profit corporation.

Can I file my Florida annual report before May 1?

Yes. The window opens on January 1, and you can file on any day from then until May 1. Filing in the first months avoids the rush near the deadline, when processing can slow down.

What happens if I file the Florida annual report on May 2?

An LLC, for profit corporation, LP or LLLP pays the normal fee plus a $400 late fee. Nonprofit corporations do not owe that late fee. If the report is never filed, the company is administratively dissolved, or revoked if it is a foreign registration.

How long does it take for my Florida annual report to show on Sunbiz?

Reports filed online and paid by card or with a Sunbiz E-file account post within 24 hours. The Division runs its batch at 6 pm Eastern each day, and busy weeks before May 1 can take longer.

Do I need my document number to file?

Yes, have it ready. Every Florida entity has a document number, and it is the quickest way to pull up the right record in Sunbiz. You can find it with a Sunbiz name search if you do not have it.

How do I bring back a company dissolved for a missed report?

File a reinstatement with the Division of Corporations. Once it is accepted, the record goes back to Active. Until then the status reads Administratively Dissolved, or Administratively Revoked for a foreign company.
