Corporation Commission, 14 to 16 days

Arizona does not use its Secretary of State for company formation. LLCs and corporations are formed with the Arizona Corporation Commission, an elected body. An LLC starts when the Commission approves its Articles of Organization. Our articles of organization guide covers the general idea, and the Arizona office guide covers the Commission itself. This page describes the filing and is not advice.

What Arizona calls the LLC form

The state's own name is Articles of Organization. The Commission also offers paper forms, but it says you may file your own forms as long as they meet the statutory requirements. The fee schedule lists the filing at $50 for regular processing and $85 for expedited.

A corporation files Articles of Incorporation instead. For a for-profit company the fee is $60, or $95 expedited. A nonprofit pays $40, or $75 expedited. If you plan a corporation, see the articles of incorporation guide.

Online or on paper

The Commission would rather you file online. Its FAQ says online filings can be made instantly, while mail or fax involves a wait. The online system also checks that required fields are complete. The portal is Arizona Business Center, which replaced the older eCorp system.

Check that you reach the Commission's own address, arizonabusinesscenter.azcc.gov. The Commission has warned about a site called Arizona Business Filings that has no connection to it.

Speed and expedite options

Regular review has no added fee and typically takes 14 to 16 days. The Commission counts processing time as the days its staff need to review the filing, and it posts current wait times.

If you cannot wait, you can add a service. An expedite adds $35 and typically takes 3 to 5 days. Next day adds $100, same day adds $200 and a 2-hour review adds $400. Same day filings must arrive before 10am, and next day filings before 5pm. The 2-hour service runs from 8am to 3pm.

Names, agents and publication

LLC names must carry a word or abbreviation such as limited liability company, L.L.C., LLC or L.C. An LLC name may not contain association, corporation or incorporated. Words such as bank, trust or credit union are allowed only if the business is really in that line. Names must be distinguishable from others on the Commission's records, and the type words are ignored when names are compared.

The statutory agent must accept the designation. Online, the agent can do that from a dashboard. On paper the agent signs an acceptance form.

Publication is the odd rule. After approval the Commission sends a letter if your document must be published. Many people then file the newspaper's affidavit of publication, though that step is optional.

After the filing

Once approved, your LLC exists. Arizona LLCs file no annual report, so the next job is keeping the agent and address current. A change uses a Statement of Change, which costs $5 at regular speed.

A company that wants to prove its status later can order a Certificate of Good Standing for $10. For a corporation, the annual report matters. Our Arizona annual report guide explains it.

Our private filing service can prepare the filing for you. State fees are separate, and you can file with the Commission yourself.
